Terms of Service

Please read these Terms of Service carefully. These Terms govern your use of nextwavebusinessservices.com (the “Site”). By submitting information through the Site, you agree to be bound by these Terms. If you do not agree, do not submit information through or otherwise use the Site.

These Terms are an agreement between you and NextWave Business Services (“NextWave,” “we,” “us,” or “our”), a d/b/a of HEOBIN Inc, located at 2651 W Guadalupe Rd, Suite #110, Mesa, Arizona 85202.

1. WHAT NEXT WAVE DOES, AND WHAT IT DOES NOT DO

NextWave is an independent advisory firm. We learn how your business operates and connect you with payroll, human resources, employee benefits, and workforce solution providers suited to it. We do not provide payroll processing, human resources services, or workforce administration ourselves, and we are not a law firm, an accounting firm, or a tax advisor.

Insurance. NextWave is not a licensed insurance agency and does not sell, quote, bind, or service insurance. Insurance services, including workers' compensation and employee benefits, are offered through our affiliate, Tobin Insurance, a licensed independent insurance agency, in Arizona, California, Colorado, Nevada, Texas, Idaho, Oklahoma, Florida, and Georgia. NextWave and Tobin Insurance are under common ownership.

These Terms govern NextWave's Site and services only. Insurance services provided by Tobin Insurance are subject to Tobin Insurance's own agreements and applicable terms.

Nothing on the Site is advice. Information on the Site is general and provided for information only. It is not legal, tax, accounting, insurance, employment, or benefits advice, and it does not take account of your particular circumstances. Laws, programs, tax credits, and provider offerings change, and information on the Site may not reflect the current position. You should obtain professional advice before acting.

No guaranteed outcome. We do not guarantee that a provider will be available, that any particular arrangement can be obtained, or that any specific cost, coverage, or result will follow from working with us.

How we are paid. NextWave is compensated by the providers we place clients with.

2. USING THE SITE

You may use the Site only for lawful purposes. You agree not to:

●       use the Site in violation of any applicable law or regulation;

●       submit false, misleading, or incomplete information;

●       interfere with or disrupt the Site, its servers, or its networks, or attempt to gain unauthorized access to any part of it;

●       transmit any virus, malicious code, or automated process intended to damage or overburden the Site;

●       collect or store information about other users;

●       reproduce, duplicate, resell, or commercially exploit any part of the Site without our written permission; or

●       impersonate any person or misrepresent your affiliation with any person or entity.

We may restrict, suspend, or terminate access to the Site, and may change, suspend, or discontinue any part of it, at any time and without prior notice. We will not be liable to you or any third party for doing so.

3. INFORMATION YOU SUBMIT

You are responsible for the information you submit through the Site and confirm that you are authorized to provide it.

Do not submit employee health information. Our forms are not designed to receive medical records, claims data, benefit enrollment information, census files, policy documents, or invoices, and you should not submit them. If documentation is required during an engagement, your advisor will arrange a secure method outside the Site.

Submitting a form on the Site does not send your information to any provider. Information is shared with a provider, or with our affiliate Tobin Insurance, only after you decide to move forward and ask us to make that connection.

Information submitted through the Site is handled as described in our Privacy Policy.

4. TEXT MESSAGING

The Site offers an optional, unchecked consent to receive text messages about your inquiry. Consent is not a condition of any purchase and is never required in order to use the Site or work with NextWave.

If you opt in, we may send text messages relating to your inquiry, including acknowledgements, scheduling, and follow-up about your discovery conversation. Message frequency varies. Message and data rates may apply. Reply STOP to opt out at any time; reply HELP for assistance. Mobile carriers are not liable for delayed or undelivered messages.

No mobile information collected through the Site, and no consent to receive text messages, will be sold, rented, or shared with third parties or affiliates for marketing or promotional purposes, as further described in our Privacy Policy.

5. INTELLECTUAL PROPERTY

The Site and its contents — text, graphics, logos, and design — are owned by NextWave or its licensors and are protected by copyright, trademark, and other laws. You may view and print pages for your own business use. You may not otherwise copy, modify, distribute, publish, or create derivative works from the Site without our written permission, and you may not remove any proprietary notice.

The NextWave name and logo are our trademarks and may not be used without our written consent.

6. THIRD-PARTY LINKS AND PROVIDERS

The Site links to other websites, including those of our affiliate and of providers. We do not control those sites and are not responsible for their content, practices, products, or services. A hyperlink by itself does not imply endorsement.

Any agreement you enter into with a provider is between you and that provider. NextWave is not a party to it and is not responsible for the provider's performance, pricing, or conduct.

7. DISCLAIMER OF WARRANTIES

The Site is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, NextWave disclaims all warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that information on the Site is accurate, complete, or current.

8. LIMITATION OF LIABILITY

To the fullest extent permitted by law, NextWave and its officers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost data, or loss of goodwill, arising out of or relating to your use of or inability to use the Site, any provider relationship arising from it, or any conduct of a third party — even if we have been advised of the possibility of such damages.

9. INDEMNITY

You agree to indemnify and hold harmless NextWave and its officers, employees, agents, and licensors from any claim, demand, loss, or expense, including reasonable legal fees, arising out of your misuse of the Site, your violation of these Terms, or your violation of the rights of any third party.

10. GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law rules. Any claim or dispute arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the jurisdiction of those courts.

11. CHANGES TO THESE TERMS

We may update these Terms by posting a revised version on the Site. The effective date above reflects the most recent revision. Revised Terms apply from their effective date. If applicable law requires additional notice or consent to a change, we will provide that notice or obtain that consent as required.

12. GENERAL

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver of it. These Terms constitute the entire agreement between you and NextWave regarding your use of the Site. Our Privacy Policy separately describes our practices regarding personal information.
